1. Scope and Provider

These Terms of Service govern your use of the Stelix website (the “Website”) and the Stelix desktop application (the “Application”), collectively referred to as the “Service”.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Description of the Service

Stelix is a desktop application that allows users to run AI language models locally on their device. The Application processes all data locally — no user data, conversations, or prompts are transmitted to external servers. The Website provides information about Stelix and makes the Application available for download.

3. Alpha Software Disclaimer

The Application is currently provided as alpha software. This means it is an early version made available for testing and feedback purposes. Alpha software may contain bugs, errors, or instabilities. The Application is provided “as is” and “as available” without any warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the Application will be uninterrupted, error-free, or free of harmful components. Use of the alpha version is at your own risk.

4. License and Usage Rights

We grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Application for personal, non-commercial purposes on devices that you own or control.

You may not:

• Copy, modify, distribute, sell, or lease any part of the Application
• Reverse engineer, decompile, or disassemble the Application
• Use the Application for any unlawful purpose or in violation of these Terms
• Remove, alter, or obscure any proprietary notices in the Application

5. AI Model Usage

The AI models available through Stelix are provided for general informational and assistance purposes. AI-generated outputs may be inaccurate, incomplete, or misleading. You are solely responsible for evaluating and verifying any output generated by the Application.

You agree not to use the Application to generate content that is illegal, harmful, defamatory, obscene, or otherwise objectionable under applicable law.

6. Intellectual Property

All rights, title, and interest in and to the Service, including the Application, Website, branding, design, and code, are and remain the property of Joe Saad. These Terms do not grant you any rights to use the Stelix name, logo, or trademarks.

Content you generate using the Application belongs to you. We claim no ownership over your inputs or outputs.

7. Privacy and Data Protection

Your privacy is important to us. Please refer to our Privacy Policy for detailed information about how we handle data. In summary: the Application processes all data locally on your device and does not transmit personal data to our servers.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Joe Saad shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or in connection with your use of or inability to use the Service.

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability is limited to the greatest extent permitted by law. Nothing in these Terms excludes or limits liability for damages arising from intent or gross negligence (Vorsatz oder grobe Fahrlässigkeit), for injury to life, body, or health, or for mandatory statutory liability under German law.

9. Availability and Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

10. Termination

You may stop using the Service at any time by uninstalling the Application and ceasing to visit the Website. We may terminate or suspend your access to the Service at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

11. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that comes closest to the economic intent of the original provision.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer within the EU, you also enjoy the protection of the mandatory provisions of the consumer protection laws of your country of residence.

For disputes with consumers, the competent courts are determined by applicable law. For all other disputes, the exclusive place of jurisdiction is Stuttgart, Germany.
